William Luedke serves as head of the firm BRACEWELL & GIULIANI's financial institution section and as chairman of the associate evaluation committee. Mr. Luedke's practice focuses on mergers and acquisitions. Mr. Leudke also represents financial institutions and underwriters in connection with initail public offerings, the private placement of debt and equity securities, and trust preferred securities issuances and pools. He has significant experience in chartering de novo financial institutions, Subchapter S elections, bank holding company formations and enforcement matters resulting from regulatory examinations. Mr. Luedke routinely advises boards of directors regarding fiduciary duties, Sarbanes-Oxley and other corporate governance issues, and has overseen a number of internal corporate investigations related to financial institutions.
